Terms of Service

Welcome to Samaritan. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Samaritan Labs LLC, a Wyoming limited liability company ("Samaritan," "Company," "we," "us," or "our").
By accessing or using our mobile application, website, and related services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.
IMPORTANT NOTICE
PLEASE READ THESE TERMS CAREFULLY. They contain important information about your legal rights, remedies, and obligations, including:
- Limitations on our liability (Section 12)
- A binding arbitration provision and class action waiver (Section 15)

1. Acceptance of Terms
By creating an account, downloading our application, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
2. Eligibility
To use the Services, you must:
- Be at least 13 years of age
- If under 18, have parental or guardian consent to use the Services
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Services under applicable law
- Not have been previously banned or removed from the Services
Users between 13 and 18 years of age ("Minor Users") may have access to limited features. By allowing a Minor User to use the Services, the parent or guardian agrees to these Terms on behalf of such Minor User and assumes responsibility for the Minor User's compliance with these Terms.
3. Description of Services
Samaritan provides an AI-powered voice and text companion designed to assist users with spiritual reflection, Scripture exploration, and faith-based guidance. The Services may include:
- Voice and text-based conversations with an AI companion
- Scripture references and biblical content
- Prayer guidance and spiritual reflection tools
- Personalized content based on denominational preferences
- Account management and profile features
- Subscription-based premium features
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.
4. Important Disclaimers
4.1 Not Professional Advice
THE SERVICES ARE FOR INFORMATIONAL AND SPIRITUAL REFLECTION PURPOSES ONLY. Samaritan is not a substitute for:
- Professional clergy, pastoral care, or spiritual direction
- Licensed mental health professionals or therapists
- Medical doctors or healthcare providers
- Licensed attorneys or legal professionals
- Financial advisors or professionals
Always seek the advice of qualified professionals for matters requiring professional expertise.
4.2 AI Limitations
Samaritan uses artificial intelligence technology that may occasionally produce inaccurate, incomplete, or inappropriate responses. The AI does not represent the official position of any church, denomination, or religious authority. Users should exercise their own judgment and consult appropriate resources when making important decisions.

5. User Accounts
5.1 Account Creation
You may be required to create an account to access certain features. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
5.2 Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
5.3 Account Termination
We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms, without prior notice or liability.
6. Subscriptions and Payments
6.1 Subscription Plans
Certain features of the Services may require a paid subscription. Subscription details, including pricing and features, will be presented at the time of purchase.
6.2 Billing
Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection). Payment will be charged to your selected payment method at confirmation of purchase.
6.3 Automatic Renewal
Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage and cancel your subscription through your app store account settings (Apple App Store or Google Play Store).
6.4 Refunds
Refund requests are handled according to the policies of the applicable app store. Generally, we do not provide refunds for partial subscription periods. If you believe you are entitled to a refund, please contact the app store through which you made your purchase.
6.5 Price Changes
We reserve the right to change subscription prices at any time. Price changes will take effect at the start of the next billing cycle following notice of the price change.
7. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use the Services in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to the Services, other accounts, or computer systems
- Use the Services to transmit malware, viruses, or other harmful code
- Interfere with or disrupt the Services or servers connected to the Services
- Use automated systems (bots, scrapers, etc.) to access the Services without our express permission
- Impersonate any person or entity or misrepresent your affiliation
- Use the Services to harass, abuse, threaten, or harm others
- Use the Services for any commercial purpose without our prior written consent
- Reverse engineer, decompile, or disassemble any part of the Services
- Remove or alter any proprietary notices or labels on the Services
- Use the Services to generate or distribute content that is illegal, harmful, or objectionable
- Circumvent any technological measures designed to protect the Services
8. Intellectual Property
8.1 Our Intellectual Property
The Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Samaritan, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
8.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use.
8.3 User Content
You retain ownership of any content you submit through the Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Services.
9. Third-Party Services
The Services may integrate with or contain links to third-party websites, applications, or services. We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk and subject to the terms of those services.
Our Services utilize third-party AI providers to deliver functionality. By using the Services, you acknowledge that your interactions may be processed by these third-party providers in accordance with their respective terms of service and privacy policies.
10. Privacy
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information. By using the Services, you consent to our collection and use of data as described in the Privacy Policy.
11. Indemnification
You agree to defend, indemnify, and hold harmless Samaritan and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
IN NO EVENT SHALL SAMARITAN, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Personal injury or emotional distress
- Loss of revenue, profits, business, or anticipated savings
- Loss of data or goodwill
- Service interruption or computer damage
- Any other damages whatsoever
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES.
14. Governing Law
These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without giving effect to any choice or conflict of law provision or rule.
15. Dispute Resolution and Arbitration
15.1 Informal Resolution
Before filing any legal claim, you agree to try to resolve any dispute informally by contacting us at legal@heysamaritan.com. We will try to resolve the dispute informally within 60 days.
15.2 Binding Arbitration
If we cannot resolve a dispute informally, you and Samaritan agree to resolve any disputes through final and binding arbitration, except as set forth below. The arbitration shall be conducted by JAMS under its Comprehensive Arbitration Rules and Procedures.
15.3 Class Action Waiver
YOU AND SAMARITAN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
15.4 Exceptions
Either party may bring a lawsuit in court only for disputes relating to intellectual property rights or for small claims court matters.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and Samaritan regarding the Services.
16.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
16.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
16.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
16.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
